Loopchat Terms of Service

Welcome to Loopchat. These Terms of Service ("Terms") govern access to and use of the Loopchat platform ("Loopchat," "the Service"), operated by Loopchat ("we," "us," "our"). By creating an account, connecting a LINE Official Account, or otherwise using Loopchat, you ("Business," "Owner," "you") agree to be bound by these Terms.

If you do not agree to these Terms, do not use Loopchat.

1. Acceptance of Terms

By registering for a Loopchat account you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, that you have authority to bind the business on whose behalf you are registering (if applicable), and that you are at least 20 years old or the age of legal majority in your jurisdiction, whichever is lower, and legally able to enter binding contracts.

2. Description of the Service

Loopchat is a platform that connects to a Business's LINE Official Account and uses an AI assistant, powered by Anthropic's Claude, to automatically answer customer questions based on content the Business itself provides (catalog, FAQs, business hours, and policies). Loopchat also provides conversation management tools, escalation/handoff to the Business Owner, optional Google Calendar booking integration, and basic analytics.

Loopchat is currently offered in a beta / pilot capacity and functionality, availability, and pricing may change as the Service develops.

3. Eligibility and Account Registration

To use Loopchat you must create an account with accurate, current information and keep your login credentials confidential. You are responsible for all activity that occurs under your account, including any messages sent by the AI assistant on your behalf. Notify us immediately at milosupport.team@gmail.com if you suspect unauthorized access to your account.

You are responsible for lawfully obtaining and maintaining your own LINE Official Account and Channel credentials, and for complying with LINE's own Terms of Use and Messaging API policies when connecting them to Loopchat.

4. The AI Assistant — Important Notice

Notice Regarding Loopchat's AI Chatbot

Loopchat's automatic reply feature uses Claude, an artificial intelligence model developed by Anthropic, PBC, to generate responses to your Customers' messages. Please read this notice carefully before enabling the AI assistant.

The AI can make mistakes. It may misunderstand a question, provide an inaccurate answer, or fail to reflect a very recent change to your catalog, pricing, or policies if that information has not yet been updated in Loopchat. You, the Business Owner, are responsible for keeping your catalog, FAQs, business hours, and policy content accurate and up to date, since the AI answers strictly from what you have provided.

The AI does not access the public internet or general knowledge beyond what you've configured. It will not invent information about your business, but it may occasionally misinterpret ambiguous customer messages or provide a response that is technically correct but not ideal in tone.

Human oversight is built in. Loopchat is designed to hand off a conversation to you whenever the AI is not confident it can answer correctly, and you can take over any conversation manually at any time from your dashboard. You remain responsible for reviewing escalated conversations promptly and for the ultimate accuracy of information given to your Customers.

Do not use Loopchat's AI assistant to provide medical, legal, financial, tax, or other regulated professional advice, to make representations your business cannot fulfill, to process special categories of personal data (health data, financial account numbers, government ID numbers, etc.) beyond what is strictly necessary to serve a customer inquiry, or to impersonate any real individual other than your own business staff.

AI-assisted bookings are proposals only. When the AI assistant discusses availability or proposes a booking time with a Customer, no calendar event is created and no booking is confirmed until you, the Business Owner, explicitly approve it in your Loopchat dashboard. You are responsible for reviewing and confirming (or declining) all AI-proposed bookings before treating them as final.

By enabling Loopchat's AI assistant, you acknowledge these limitations and agree to use the Service accordingly.

5. Your Content and Responsibilities

You retain ownership of all content you upload or create in Loopchat (catalog items, FAQs, business policies, photos, and similar). By providing this content, you grant us a limited license to use, store, process, and transmit it as necessary to operate the Service, including sending it to Anthropic's API to generate AI responses as described in our Privacy Policy.

You represent and warrant that: you have the right to provide all content you upload to Loopchat; your content does not infringe any third party's intellectual property or other rights; your business complies with all applicable laws relevant to your industry (including, where applicable, consumer protection, product safety, and advertising standards); and any pricing, availability, or policy information you provide to Loopchat is accurate.

You are solely responsible for the accuracy of information communicated to your Customers through Loopchat, whether generated by the AI assistant or written by you directly.

6. Booking and Calendar Feature

If you connect Google Calendar, Loopchat may read your calendar's free/busy information to help the AI assistant discuss availability with Customers, and may create calendar events once you confirm a proposed booking. You can disconnect Google Calendar at any time in Settings, which immediately stops any further calendar access. We are not responsible for scheduling conflicts, double-bookings, or missed appointments arising from calendar data that is inaccurate, out of date, or from a booking you failed to review before confirming.

7. Third-Party Services

Loopchat integrates with third-party services, including LINE (Messaging API), Anthropic (AI processing), Google (Calendar), and Supabase (data infrastructure). Your use of Loopchat is also subject to the applicable terms of these providers:

We are not responsible for outages, changes, or limitations imposed by these third-party providers that are outside our control.

8. Fees

Loopchat is currently offered free of charge during its pilot phase. We may introduce paid subscription plans in the future; if we do, we will provide advance notice before any fees apply to your account, and continued use of paid features after that notice constitutes acceptance of the applicable fees.

9. Prohibited Uses

You agree not to use Loopchat to: violate any applicable law or regulation, including Thailand's PDPA; transmit spam, malware, or any harmful code; harass, defraud, or deceive any person; misrepresent your identity or business; attempt to reverse-engineer, scrape, or gain unauthorized access to Loopchat's systems or underlying AI models; use the Service to build a competing product; process customer data for purposes unrelated to serving that customer's inquiry; or exceed reasonable usage in a way that degrades the Service for other users.

We reserve the right to investigate suspected violations and to suspend or terminate accounts engaged in prohibited use.

10. Intellectual Property

Loopchat, including its software, design, and underlying technology (excluding your own content and excluding Anthropic's, LINE's, and Google's respective technologies), is owned by us and protected by intellectual property laws. Nothing in these Terms grants you any right to our trademarks, logos, or branding except as necessary to use the Service as intended.

11. Termination

You may stop using Loopchat and delete your account at any time via Settings. We may suspend or terminate your account if you violate these Terms, if required by law, or if we discontinue the Service, with notice where reasonably practicable. Upon termination, your right to use Loopchat ceases immediately; certain provisions of these Terms (including Sections 10, 12, 13, 14, and 16) survive termination.

12. Disclaimer of Warranties

MILO IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED CONTENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED RESPONSES WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PARTICULAR BUSINESS NEEDS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF MILO, INCLUDING ANY DAMAGES RESULTING FROM AN INACCURATE AI-GENERATED RESPONSE, A MISSED OR INCORRECT BOOKING, OR A THIRD-PARTY SERVICE OUTAGE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) THB 3,000.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of Loopchat, your content, your violation of these Terms, or your violation of any law or third-party right, including claims brought by your own Customers relating to your business's products, services, or representations made through Loopchat (whether by the AI assistant or by you directly).

15. Changes to the Service and These Terms

We may modify or discontinue features of Loopchat at any time. We may update these Terms from time to time; material changes will be communicated via email or in-app notice before taking effect. Continued use of Loopchat after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties; if unresolved, the dispute shall be subject to the exclusive jurisdiction of the competent Thai courts.

17. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision is not a waiver of that right. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding Loopchat.
